First time Companion Pass holder. When I book a flight with my companion, do we pay Early Bird fees for both passengers or is the companion exempt?

The Companion has their own conformation number and therefore must check in. They must purchase their own earlybird if they do not want to do the regular check in.

Can they fly by with a list cp holder to check bags?.

First, having a Companion Pass does not mean you are also A-List or A-List Preferred which is the status you need to utilize the Fly By line. Secondly, if an individual (either the pass holder or the companion) is not A-List or A-List Preferred then that individual should not be using the Fly By line.
Now, if either of the two travelers is A-List and between the two travelers they have just two bags to check, the A-List traveler could utilize the Fly By line and check both bags under their name.
