My rapid rewards account shows that I have 97000 points but then says that I have 85,000 points towards a companion pass.. are there points that dont qualify for a companion pass? I thought all points qualified for companion pass..

Does your point total span multiple years? The CP counter resets each Jan. 1.

It's most likely what @chgoflyer said, but there are a couple other reasons the two numbers wouldn't match. If they were always the same there wouldn't be a need for two different counters.
-Bonus points earned don't count towards CP. These could be earned via the online shopping portal, rental cars, hotel bookings, or A-List and A-List Preferred % bonuses
-Points are subtracted from your main RR total when you redeem them for flights, but not subtracted from the CP count
Perhaps another one or two that I'm missing
